Terms of Service

These Terms of Service ("Terms") govern your use of the Whizzly platform, operated by Whizzly Ltd ("Whizzly", "we", "us", or "our"). By creating an account or using any part of the Whizzly platform, you agree to be bound by these Terms. If you do not agree, you must discontinue use of the platform immediately.

1. Acceptance of Terms

By accessing or using Whizzly — including our web application, storefront builder, APIs, and any related services — you confirm that you are at least 18 years old, have the legal capacity to enter into a binding contract, and accept these Terms in full. These Terms constitute a legally binding agreement between you ("Merchant" or "User") and Whizzly Ltd.

2. Description of Service

Whizzly is a software-as-a-service (SaaS) platform that enables merchants to create and operate professional digital storefronts, manage product catalogues, accept appointment bookings, process food orders, and facilitate customer communications via WhatsApp and email. Whizzly provides tools including but not limited to: storefront generation, payment processing integrations, AI-powered product builders, booking calendar systems, and WhatsApp Cloud API notifications.

Whizzly is a platform provider only. We do not sell goods, deliver services, or execute transactions on behalf of merchants. All commerce conducted through Whizzly storefronts is between the merchant and their customers directly.

3. Account Registration & Eligibility

You must register an account to use Whizzly. When registering, you agree to:

  • Provide accurate, current, and complete information.
  • Maintain the security of your account credentials.
  • Promptly update any information that becomes inaccurate.
  • Accept responsibility for all activity that occurs under your account.
  • Not share your account access with any third parties without our written consent.

Accounts may be registered by individuals or legal entities operating as businesses. You may not register more than one free trial account. Whizzly reserves the right to refuse registration or terminate accounts at its sole discretion.

4. Merchant Responsibilities

As a merchant using the Whizzly platform, you are solely responsible for:

  • The accuracy, legality, and quality of all products, services, and information listed on your storefront.
  • Fulfilling orders, providing services, and handling customer service for all transactions made through your storefront.
  • Complying with all applicable local, national, and international laws, including consumer protection, trading standards, food safety, data protection, and tax regulations.
  • Ensuring you hold any required licences, permits, or certifications relevant to the goods or services you sell.
  • Not listing or selling illegal, counterfeit, hazardous, or prohibited items or services.
  • Obtaining proper consent from customers for marketing communications before using Whizzly broadcast tools.
  • Ensuring all prices, descriptions, and availability information displayed on your storefront are accurate.

5. Intellectual Property Rights

All intellectual property in the Whizzly platform — including software, design, trademarks, logos, documentation, and underlying technology — is owned by Whizzly Ltd or its licensors. You are granted a limited, non-exclusive, non-transferable licence to use the platform solely for the purpose of operating your storefront in accordance with these Terms.

You retain all intellectual property rights in the content you upload to Whizzly (including product images, descriptions, and branding). By uploading content, you grant Whizzly a non-exclusive, worldwide, royalty-free licence to host, display, and process that content solely for the purpose of operating the platform and delivering the service to you.

You must not copy, reverse-engineer, decompile, or attempt to extract the source code of the Whizzly platform.

6. Subscription Fees & Billing

Whizzly offers a 14-day free trial for all new accounts. No credit card is required to start a trial. After the trial period, continued access to the platform requires a paid subscription.

  • Standard Plan: £9.99 per month, billed monthly.
  • Pro Plan: £19.99 per month, billed monthly.
  • Powerups & Add-ons: Priced individually as described on the Powerups page; billed monthly or as one-time charges.

All prices are inclusive of applicable VAT unless otherwise stated. Billing is processed securely via Stripe. You authorise Whizzly to charge your payment method on a recurring basis. Whizzly reserves the right to update pricing with 30 days' notice. Continued use after notice constitutes acceptance of new pricing.

7. Refund & Cancellation Policy

You may cancel your Whizzly subscription at any time from the Billing tab of your dashboard or via the Stripe Customer Portal. Upon cancellation:

  • Your subscription remains active until the end of the current billing period.
  • No partial refunds are issued for unused time within a billing period.
  • One-time Powerup purchases are non-refundable once activated.
  • If you believe you have been charged in error, contact us within 14 days at hello@whizzly.co.uk for review.

Whizzly reserves the right to offer discretionary goodwill refunds on a case-by-case basis.

8. Free Trial Terms

New accounts receive a 14-day free trial providing access to all platform features. The free trial is limited to one per individual or business entity. Whizzly reserves the right to terminate or modify trial access at any time. After the trial expires, your storefront will be deactivated until a paid plan is selected. Data is retained for 30 days after trial expiry before permanent deletion.

9. Third-Party Services & Integrations

Whizzly integrates with third-party services including Stripe, PayPal, Meta (WhatsApp), Google, Firebase, and others. Your use of these integrations is subject to the respective third-party terms of service and privacy policies. Whizzly is not responsible for the availability, accuracy, or conduct of any third-party services. Integration availability may change at any time without notice.

Merchants are responsible for maintaining valid accounts and complying with the terms of any third-party services they connect to their Whizzly account (e.g., Stripe Connect, PayPal Business, Meta Business Suite).

10. Prohibited Uses

You must not use the Whizzly platform to:

  • Sell illegal, counterfeit, stolen, or prohibited goods or services.
  • Engage in fraud, deception, or misrepresentation of any kind.
  • Send unsolicited communications (spam) to customers without valid consent.
  • Violate any intellectual property rights of third parties.
  • Attempt to gain unauthorised access to other accounts or platform systems.
  • Use the platform in any way that could damage, overload, or impair our infrastructure.
  • Resell, sublicence, or otherwise commercialise access to the platform without our written consent.
  • Use automated scripts or bots to scrape data or interact with the platform outside of our documented APIs.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Whizzly Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities, arising from your use of or inability to use the platform.

The platform is provided "as is" and "as available" without warranties of any kind, express or implied. Whizzly does not warrant that the platform will be uninterrupted, error-free, or free of viruses or other harmful components.

Whizzly's total aggregate liability to you for any claim arising under these Terms shall not exceed the total fees paid by you to Whizzly in the three (3) months immediately preceding the event giving rise to the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless Whizzly Ltd, its directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your use of the platform; (b) your violation of these Terms; (c) your products, services, or storefront content; or (d) any dispute between you and your customers.

13. Termination of Account

Whizzly reserves the right to suspend or permanently terminate your account, at our sole discretion, with or without notice, if we reasonably believe you have violated these Terms, engaged in fraudulent activity, or posed a risk to the platform or other users. Upon termination, your storefront will be taken offline immediately. You may request a copy of your data within 30 days of termination.

14. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales, unless otherwise required by applicable mandatory consumer protection laws in your country of residence.

15. Dispute Resolution

In the event of a dispute, we encourage you to contact us first at hello@whizzly.co.uk so we can try to resolve the matter informally. If a dispute cannot be resolved within 30 days of written notice, either party may pursue formal legal remedies in accordance with Section 14 (Governing Law & Jurisdiction).

16. Changes to These Terms

Whizzly reserves the right to update or modify these Terms at any time. We will notify you of material changes via email or a prominent notice on the platform at least 14 days before changes take effect. Your continued use of the platform after changes take effect constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must cancel your account before the changes take effect.
